QUESTION: I am curious about a little rule that seems to upset a lot of people... when three or more members of the board of directors are gathered, be it dinner at a local restaurant, cocktail party, movie, etc. they shake in their boots if caught talking to each other as it would be called a "meeting." Could you clarify?
ANSWER:
Directors are not prohibited from attending barbecues, birthday parties, social gatherings
or committee meetings. The entire board can attend such events without violating the Act provided they do not "hear,
discuss, or deliberate upon any item of business that is within the authority of the board." If they do, the gathering is considered a
board meeting.
