Oral Resignation
Some directors resign orally and refuse to submit a written resignation. In such instances, the resignation becomes irrevocable once the resignation has been accepted by the board, i.e., the board sends a confirming written communication to the director accepting the resignation or records the resignation in the minutes of an open meeting of the board. The resigning director may withdraw the resignation if he/she does so before the resignation is accepted by the board and recorded in the minutes.
