Two Signatures on Contracts
Agreements may be oral or written. Written agreements may be entered into with the signature of one officer/director. If two officers sign an agreement (the president or vice president plus the secretary, assistant secretary, treasurer, or assistant treasurer), the agreement cannot be invalidated by the association by any lack of authority of the signing officers in the absence of actual knowledge on the part of the other person that the signing officers had no authority to execute the agreement. Corporations Code §7214.
