Mental Competence - Unsound Mind
The board does not have the right to decide for
itself who is mentally competent to serve as a director. That is a decision for courts to make. Corp. Code §7221(a). As a result, boards cannot refuse to allow someone to run for the board due to perceived "mental competence" unless a court has declared the person of unsound mind.
