Action Without a Meeting.
As provided for in
Corp. Code §7211(b), any action required or permitted to be taken by the board may be taken without a meeting, if all members of the board individually or collectively consent in writing to that action. The
written consent must be attached to and become part of the minutes of the board's next meeting.
For example, between regularly scheduled board meetings the board may need to approve printing & distributing to the membership the year-end financial report. Rather than calling a special board meeting, this could be done by unanimous written consent.
Email Meetings. Email between directors on an item of business is not the same as unanimous written consent described above. Email between directors is deemed a "meeting" of the board and is prohibited unless needed to address an
emergency. (
