We stay current on all matters affecting the industry and alert our clients about significant trends and changes in the law.

CORPORATE COUNSEL

As corporate counsel to community associations, we advise boards of directors on how to comply with the Davis-Stirling Act, the Corporation Code, anti-discrimination laws, and all applicable administrative regulations and statutes affecting common interest developments. We advise boards on day-to-day operations, including interpretation and enforcement of governing documents, fiduciary duties of directors, amending and restating governing documents, preparing and enforcing vendor contracts, board meetings, election issues, employment law, etc.

Managing Conflict. As a firm, we try to keep our clients out of costly litigation. To that end, we provide boards with risk analysis, cost estimates, and options for managing conflict, including mediation and arbitration. When alternative dispute resolution proves ineffective, we litigate aggressively to win the dispute on behalf of our clients.

Contracts. Each year, associations routinely enter into contracts long-term services as well as special projects. We assist boards with negotiating and drafting contracts, interpreting existing agreements, and enforcing them when contractors fail to abide by their terms. Contracts include, but are not limited to:

  • Administrative hearings
Insurance Defense. Our litigation services include oversight of insurance appointed defense attorneys. We provide independent evaluation of the quality of your defense and provide alternatives.

EMPLOYMENT LAW

Since the potential for employment liability can be high, and litigation costly, legal counsel on employment issues is important. We advise boards on day-to-day employment matters and developing areas of the law. Because we specialize in large-scale associations, our firm has experience guiding boards and managers in the following matters:
  • Hiring practices
  • Termination decisions
  • Employee handbooks
  • Wage & hour disputes
  • Wrongful termination
  • Drug testing
  • Background investigations
  • Workplace violence
  • Sexual harassment
  • ADA compliance
  • Discrimination claims
Employee Handbooks. We prepare employee handbooks and review existing policies with the goal of reducing and preventing costly litigation by addressing wage-hour practices, sexual harassment, poor performance, discipline and discharge issues, leaves of absence, disability issues, drugs and alcohol testing, email policies, and workplace violence.

Risk Analysis. We provide employers with litigation risk analysis in order to facilitate resolution of disputed employment matters before the defense costs escalate and expectations become unrealistic.
