The board does not have the right to decide for itself who is mentally competent to serve as a director. That is a decision for courts to make. (Corp. Code §7221(a).) As a result, boards cannot refuse to allow someone to run for the board due to perceived mental incompetence unless a court has declared the person of unsound mind.
