HOLDING MULTIPLE OFFICES

For nonprofit mutual-benefit corporations (which is the form of incorporation for most associations), any number of offices may be held by the same person unless the articles or bylaws provide otherwise. (Corp. Code §7213(a).) Accordingly, one director may hold multiple offices, such as President-Secretary, Secretary-Treasurer or Vice President-Treasurer, etc. but cannot hold multiple director seats.

Boards should check their governing documents to see if their are restrictions on directors holding multiple offices.
